musiQproof Affiliate Agreement

1. Purpose

The musiQproof Affiliate Program allows approved affiliates to promote musiQproof products and services in exchange for commission on qualifying sales generated through their unique referral links.

Participation in the Affiliate Program is subject to approval by musiQproof.

2. Affiliate Approval

Submitting an affiliate application does not automatically grant affiliate status.

musiQproof reserves the right to approve, reject, suspend or terminate any affiliate account at its sole discretion and without providing a reason.

3. Affiliate Links

Each approved affiliate receives two unique referral links:

• Customer Referral Link — Used to refer customers to musiQproof.
• Affiliate Recruitment Link — Used to recruit new affiliates into the musiQproof Affiliate Program.

If a new affiliate registers using your Affiliate Recruitment Link, they become permanently linked to your account as your second-tier affiliate.

This affiliate relationship cannot be changed after registration.

4. Commission Structure

Affiliate commissions are calculated on the base product price excluding VAT.

VAT, taxes and other government charges are never included in commission calculations.

The total affiliate commission always remains 30%.

No commissions are paid beyond the second tier.

5. Subscription Commission Period

Affiliate commissions are paid only during the first twelve (12) months of each new customer subscription.

After the customer's first twelve months, no further commissions will be paid, regardless of whether the customer continues their subscription.

6. Commission Approval

Commissions become payable only after:

• The customer's payment has been successfully received.
• The payment is no longer subject to refund.
• No chargeback has occurred.
• The transaction has passed fraud review.

Pending commissions may be adjusted or cancelled before approval.

7. Refunds and Chargebacks

If a customer receives a refund or initiates a chargeback, any related affiliate commission will be cancelled.

If the commission has already been paid, musiQproof reserves the right to deduct the amount from future affiliate payouts.

8. Payouts

Affiliate commissions are paid exclusively via PayPal.

Affiliates are responsible for maintaining a valid PayPal email address.

The minimum payout amount is €50.

Payout requests below this amount cannot be processed.

9. Affiliate Responsibilities

Affiliates agree to promote musiQproof honestly, professionally and in compliance with all applicable laws.

Affiliates may not:

• Make false or misleading claims.
• Misrepresent musiQproof or its services.
• Send spam emails or unsolicited messages.
• Post misleading advertisements.
• Engage in fraudulent or deceptive marketing practices.

10. Self-Referrals

Affiliates may not earn commission on purchases made by themselves or by accounts created primarily to generate affiliate commissions.

Any commissions resulting from self-referrals or similar abuse may be cancelled.

11. Fraud Prevention

musiQproof actively monitors affiliate activity.

Accounts may be suspended or permanently terminated for activities including, but not limited to:

• Fake referrals
• Fake customer accounts
• Fraudulent transactions
• Cookie stuffing
• Spam marketing
• Misrepresentation
• Attempts to manipulate the affiliate program

Any unpaid commissions may be forfeited.

12. Intellectual Property

Affiliates may use only the logos, banners and marketing materials provided within the Affiliate Dashboard.

No other musiQproof trademarks, branding or copyrighted materials may be used without prior written permission.

13. Taxes

Affiliates are solely responsible for reporting and paying any taxes applicable in their own country.

musiQproof does not withhold taxes unless required by law.

14. Account Termination

Either party may terminate participation in the Affiliate Program at any time.

Upon termination:

• Future commissions cease immediately.
• Previously approved unpaid commissions remain payable, provided they meet all payout requirements.
• Pending commissions may be cancelled if the related transactions have not yet been fully approved.

15. Changes to the Affiliate Program

musiQproof reserves the right to modify this Affiliate Agreement, commission percentages, payout thresholds, program rules or any other aspect of the Affiliate Program at any time.

Updated terms become effective once published on the musiQproof website or Affiliate Dashboard.

16. Limitation of Liability

musiQproof shall not be liable for any indirect, incidental, special or consequential damages arising from participation in the Affiliate Program.

The Affiliate Program is provided on an "as is" basis without warranties of any kind.

17. Governing Law

This Agreement shall be governed by the laws applicable to musiQproof's operating company.

Any disputes shall be submitted to the competent courts of that jurisdiction.

19. Brand Bidding Restrictions

Affiliates may not purchase, bid on or otherwise use the following, or confusingly similar terms, in any paid advertising platform (including Google Ads, Bing Ads or similar services) without prior written permission from musiQproof:

• musiQproof
• musiQproof.com
• Any misspellings or confusingly similar variations of the musiQproof brand

Affiliates may also not use musiQproof trademarks in display URLs, domain names or social media usernames in a way that may cause confusion or imply official representation.

This restriction helps protect the musiQproof brand and prevents affiliates from competing directly with musiQproof's own advertising campaigns.

Acceptance

By checking the "I agree to the Affiliate Agreement" box during registration, you confirm that you have read, understood and agree to be bound by this Affiliate Agreement.
